Terms and Conditions
General Terms and Conditions of Stat-X CZ s.r.o.
I. General Provisions
1. Seller
The Seller is:
Stat-X CZ s.r.o.
registered office: Mánesova 390/74, 370 01 České Budějovice, Czech Republic
Company ID: 01992333
VAT ID: CZ01992333
registered in the Commercial Register maintained by the Regional Court in České Budějovice, Section C, File No. 21961
E-mail for orders: orders@stat-x.cz
E-mail for general communication and complaints: info@stat-x.cz
Phone: +420 775 945 325
(hereinafter referred to as the “Seller”).
2. Scope of the Terms and Conditions
These General Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) govern the mutual rights and obligations of the Seller and the person who concludes a purchase contract or a contract for the provision of services with the Seller through the Seller’s online shop (hereinafter referred to as the “Buyer”).
The Terms and Conditions apply to the purchase of goods and the ordering of services unless otherwise stated for a specific product or service.
The Buyer may be a consumer or a business customer.
A consumer is a natural person who concludes a contract with the Seller outside the scope of their business activity or independent professional activity.
A business customer is a Buyer who concludes a contract in connection with their business activity or independent professional activity. If the Buyer enters their Company ID in the order, they shall be deemed to be concluding the contract as a business customer unless the circumstances indicate otherwise.
The provisions of these Terms and Conditions relating to the special protection of consumers apply only to Buyers who are consumers.
Any differing provisions contained in an individual contract, quotation or framework agreement between the Seller and the Buyer shall take precedence over these Terms and Conditions.
Legal relationships not regulated by these Terms and Conditions are governed in particular by Act No. 89/2012 Coll., the Czech Civil Code, and, in the case of consumers, also by Act No. 634/1992 Coll., on Consumer Protection, as amended.
II. Information on Goods, Services and Prices
Information on goods and services, including their main characteristics, technical parameters, price and availability, is provided for the individual items in the online shop.
The Seller reserves the right to update information on goods, services and their prices on an ongoing basis. For a specific order, the price valid at the time the Buyer submits the order is decisive, unless otherwise provided below for individually calculated performance.
Prices may be displayed in the online shop both excluding and including VAT. If the Buyer is a consumer, the final price including all taxes and charges that can be determined in advance will always be clearly displayed before the order is submitted.
Shipping costs and any costs associated with the selected payment method are displayed to the Buyer before the order is submitted.
For goods for which the shipping price cannot reasonably be determined in advance due to their dimensions, weight, place of delivery, number of suppliers or other circumstances, this fact is stated in the online shop. In such a case, the Seller will inform the Buyer of the shipping price before the contract is concluded or before any change in the shipping price becomes binding on the Buyer. No subsequently determined shipping price will be charged without the Buyer’s consent.
If the Seller announces a price reduction for a product to a consumer, the Seller will also provide information on the previous lowest price to the extent required by applicable law.
III. Order and Conclusion of the Contract
The Buyer places an order primarily through the Seller’s online shop. Where permitted by the Seller, an order may also be placed by e-mail, telephone or another individually agreed method.
Before submitting an electronic order, the Buyer has the opportunity to review and correct the entered information, selected goods or services, quantities, shipping method and payment method.
By submitting the order, the Buyer makes a binding proposal to conclude a contract and confirms that they have read these Terms and Conditions.
Where the order entails an obligation on the Buyer to pay, the relevant button or other control element of the online shop shall be labelled in such a way that it is clear that its use creates an obligation to pay.
Upon receiving the order, the Seller will send the Buyer an electronic confirmation of receipt without undue delay.
An automatic system confirmation of receipt of the order does not in itself constitute acceptance of the proposal to conclude a contract unless its content expressly states otherwise.
The contract is concluded at the moment when the Seller confirms to the Buyer that the order has been accepted for processing, or otherwise clearly communicates its acceptance.
For an order where it is necessary to determine individually the shipping price, the price of custom-made goods or another material part of the price, the contract in this respect is concluded only after the Seller informs the Buyer of the final price or the method of calculating it and the Buyer expressly agrees to it.
Submitting an enquiry through an enquiry form or another tool designated as an enquiry does not constitute an order and does not in itself create an obligation for either the Buyer or the Seller to conclude a contract.
The Seller may reject an order before the contract is concluded, in particular where the goods are unavailable, have been discontinued, cannot be supplied under the stated conditions, or where there is an obvious technical error in the price or other information which the Buyer could reasonably have recognised in the circumstances.
If the Buyer has already made a payment in such a case, the Seller will refund it without undue delay.
A concluded contract cannot be unilaterally amended solely due to a subsequent increase in a supplier’s price or a change in exchange rates unless expressly agreed otherwise before the contract was concluded.
IV. Payment Terms
The Buyer may use the payment methods displayed in the online shop for the specific order.
The Seller may in particular allow:
-
payment in advance based on payment instructions or a pro forma invoice,
-
payment by bank transfer,
-
payment by invoice with an agreed due date,
-
or other payment methods shown during the checkout process.
Payment by invoice with an agreed due date may only be available to selected customers following prior approval by the Seller.
Any costs associated with the individual payment methods are stated before the order is completed.
The tax document is generally sent to the Buyer electronically to the e-mail address provided in the order.
The Seller retains title to the goods until the purchase price has been paid in full.
V. Delivery Terms
The Seller will deliver the goods using the method selected by the Buyer from the options available during the checkout process.
The place of delivery is the address provided by the Buyer in the order or the location selected for the relevant shipping method.
The expected availability and delivery time are stated for the goods or communicated to the Buyer when the order is confirmed.
If no specific delivery date has been agreed with a consumer, the Seller will deliver the goods without undue delay and no later than within the period laid down by applicable law.
The Buyer is advised to inspect the condition of the shipment upon receipt and, in the event of obvious damage, to record this with the carrier where possible.
Failure to inspect the shipment upon receipt or to draw up a damage report with the carrier does not in itself deprive a consumer of their statutory rights arising from defective performance.
If the Buyer discovers damage to or incompleteness of the shipment, they are advised to inform the Seller as soon as possible and allow the Seller to assess the condition of the shipment.
If the Buyer fails to take delivery of properly dispatched goods, this does not automatically constitute withdrawal from the contract. The Seller may claim reimbursement of reasonably incurred costs arising from the failure to take delivery, to the extent permitted by applicable law.
VI. Consumer Withdrawal from a Distance Contract
This Article applies only to Buyers who are consumers.
A consumer has the right to withdraw from a contract concluded through the online shop without giving any reason within 14 days.
In the case of a contract for the purchase of goods, this period runs from the day on which the consumer or a third party designated by the consumer other than the carrier takes possession of the goods. For an order comprising several separately delivered items or parts, the period is calculated in accordance with the rules laid down by the Czech Civil Code.
In the case of a contract for the provision of services, the period generally runs from the date the contract is concluded.
To comply with the deadline, it is sufficient for the consumer to send the Seller an unequivocal statement of withdrawal before the period expires.
The withdrawal may be sent in particular to:
Stat-X CZ s.r.o.
Mánesova 390/74
370 01 České Budějovice
Czech Republic
or electronically to info@stat-x.cz.
The consumer may use the model withdrawal form provided in the Annex to these Terms and Conditions, but its use is not mandatory.
If the online shop allows withdrawal through an online form or another online function, the consumer may also use this method. The Seller will confirm receipt of such withdrawal in text form without undue delay.
Return of Goods
The consumer shall send or hand over the goods to the Seller without undue delay and no later than 14 days after withdrawal from the contract.
The consumer bears the direct costs of returning the goods unless otherwise agreed with the Seller or unless applicable law provides otherwise.
If, due to their nature, the goods cannot be returned by ordinary post, the consumer will also be informed before the contract is concluded of the costs of returning them or an estimate of such costs, where they can reasonably be determined.
The consumer is liable only for any diminished value of the goods resulting from handling the goods in a manner other than that necessary to establish their nature, characteristics and functioning.
Damage to or absence of the original packaging alone is not a reason to refuse withdrawal from the contract.
Refunds
The Seller will refund to the consumer, without undue delay and no later than 14 days after withdrawal from the contract, all payments received from the consumer under the contract, including the costs of delivery of the goods.
If the consumer selected a more expensive method of delivery than the least expensive standard delivery method offered by the Seller, the Seller will refund the delivery costs only up to the amount corresponding to the least expensive delivery method offered.
The Seller will use the same means of payment for the refund as the consumer used for the original transaction unless the parties agree otherwise and the consumer incurs no additional costs as a result.
The Seller is not required to refund the money before receiving the returned goods or before the consumer provides proof that the goods have been sent back, whichever occurs first.
Exceptions to the Right of Withdrawal
The consumer may not withdraw in particular from a contract for:
-
the supply of goods made to the consumer’s specifications or clearly personalised,
-
the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons if the seal has been broken,
-
the provision of a service that has been fully performed before the expiry of the withdrawal period, provided that performance began with the consumer’s prior express consent and the consumer was informed in advance that the right of withdrawal would be lost,
-
other performance for which the Czech Civil Code excludes the right of withdrawal.
The exception for goods made to the consumer’s specifications applies only to genuinely individually manufactured or modified goods. Merely selecting a standard variant from the Seller’s regular range is not, by itself, a reason to exclude the right of withdrawal.
If the consumer expressly requests that the provision of a service begin during the fourteen-day withdrawal period and subsequently withdraws before the service has been fully provided, the consumer shall pay the Seller a proportionate part of the price corresponding to the performance already provided.
A business customer does not have a statutory right to withdraw from the contract without giving a reason within a 14-day period unless expressly agreed otherwise with the Seller.
VII. Consumer Rights in the Event of Defective Performance
The Seller is liable to the consumer for ensuring that the goods are free from defects upon receipt and comply with the agreed and legally required characteristics, in particular as regards quantity, quality, functionality, safety, durability and suitability for the purpose for which they were purchased.
The consumer may raise a defect that becomes apparent within two years of receipt of the goods.
If a defect becomes apparent within one year of receipt, it is presumed that the goods were defective at the time of receipt unless the nature of the goods or the defect excludes such a presumption.
Normal wear and tear corresponding to normal use, or a defect caused by the Buyer, does not constitute defective performance.
Remedying a Defect
If the goods are defective, the consumer may request that the defect be remedied.
At the consumer’s choice, they may request repair of the goods or delivery of replacement goods free from defects unless the chosen remedy is impossible or disproportionately costly compared with the alternative.
The Seller will remedy the defect within a reasonable period after it has been reported and without significant inconvenience to the consumer.
The Seller bears the costs associated with taking over the goods for the purpose of remedying a defect under a justified complaint.
Price Reduction or Withdrawal from the Contract
The consumer may request an appropriate reduction in the purchase price or withdraw from the contract in particular where:
-
the Seller refuses to remedy the defect or fails to remedy it properly,
-
the defect recurs,
-
the defect constitutes a material breach of the contract,
-
it is apparent from the circumstances that the defect will not be remedied within a reasonable period or without significant inconvenience to the consumer.
The consumer may not withdraw from the contract if the defect is insignificant.
Any commercial guarantee provided by the Seller, manufacturer or another person is a voluntary benefit in addition to statutory rights arising from defective performance and does not limit those statutory rights in any way.
VIII. Submission and Handling of Consumer Complaints
A consumer may lodge a complaint with the Seller at any establishment where complaints can be accepted with regard to the range of goods sold, or at the Seller’s registered office.
For faster processing, the complaint may be notified in advance by e-mail to info@stat-x.cz.
When submitting a complaint, it is advisable to provide in particular:
-
the Buyer’s contact details,
-
the order number or other information enabling the purchase to be identified,
-
identification of the goods concerned,
-
a description of the defect and how it manifests itself,
-
the requested method of resolving the complaint.
It is not necessary to present the original invoice when making a complaint if the consumer can prove that the contract was concluded and that the goods were purchased from the Seller by other means.
When a complaint is submitted, the Seller will issue the consumer with written confirmation stating the date on which the complaint was made, its content, the requested method of resolution and the consumer’s contact details for the purpose of notifying them of the outcome.
The consumer’s complaint, including the removal of the defect, will be handled and the consumer informed of the outcome no later than 30 days from the date on which the complaint was made, unless the Seller and the consumer expressly agree on a longer period.
After the complaint has been handled, the Seller will issue confirmation of the date and method of resolution or, where applicable, written reasons for rejecting the complaint.
The consumer will provide the Seller with the cooperation necessary to assess the reported defect, in particular by allowing the Seller to inspect the goods concerned.
IX. Rights Arising from Defective Performance in Business-to-Business Purchases
Where the Buyer is a business customer, rights arising from defective performance are governed in particular by the general provisions of the Czech Civil Code relating to purchase contracts.
The business customer shall, where possible, inspect the goods as soon as possible after receipt and verify their characteristics and quantity.
If a defect is discovered, the business customer shall notify the Seller without undue delay after discovering it or after they could have discovered it with due care.
The rights of a business customer in the event of a material or non-material breach of contract are governed by the relevant provisions of the Czech Civil Code unless otherwise agreed between the parties.
The 30-day statutory period applicable to consumer complaints does not apply to Buyers who are business customers.
These Terms and Conditions do not establish an automatic “statutory 12-month warranty” for business customers. If a commercial guarantee is provided for a particular product, its duration and scope are stated with the product, in the guarantee statement, technical documentation or an individual agreement with the Buyer.
X. Services
Where the Seller offers services through the online shop, their specific content, scope, price, timing and any special conditions are stated for the relevant service or in an individual quotation.
Where the provision of a service requires cooperation from the Buyer, the Buyer shall provide such cooperation to a reasonable extent.
If a service ordered by a consumer is to begin before the expiry of the withdrawal period, its provision will only begin on the basis of the consumer’s express request where required by applicable law.
XI. Alternative Dispute Resolution for Consumers
If a consumer dispute arising from a purchase contract or a contract for the provision of services between the Seller and a consumer cannot be resolved by mutual agreement, the consumer may submit a proposal for alternative dispute resolution.
The competent body for alternative dispute resolution is:
Czech Trade Inspection Authority
Central Inspectorate – ADR Department
Gorazdova 1969/24
120 00 Prague 2
Czech Republic
E-mail: adr@coi.gov.cz
Website: https://coi.gov.cz/informace-o-adr/
Information on alternative dispute resolution for consumers is available on the official website of the Czech Trade Inspection Authority.
XII. Personal Data Protection
Information on the processing of Buyers’ personal data is provided in the separate Privacy Policy published in the Seller’s online shop.
The processing of personal data necessary for the conclusion and performance of a contract is not conditional on the Buyer’s consent where the legal basis for processing is performance of a contract, compliance with a legal obligation of the Seller or another legal basis under applicable law.
XIII. Final Provisions
Contracts concluded through the Czech-language version of the online shop are concluded in Czech unless otherwise agreed.
The contract and the relevant Terms and Conditions are retained by the Seller in accordance with applicable law. After the contract is concluded, the Buyer is provided with confirmation of the contract and the wording of the Terms and Conditions in text form.
If any provision of these Terms and Conditions is invalid or ineffective, this does not affect the validity and effectiveness of the remaining provisions.
In relation to consumers, no provision of these Terms and Conditions shall apply in a manner that deprives them of rights granted by mandatory consumer protection legislation.
The Seller may amend or supplement these Terms and Conditions for the future. The version of the Terms and Conditions effective at the time the specific contract is concluded applies to that contract.
These Terms and Conditions enter into force on 19 August 2026.
